In a lawsuit filed in the Los Angeles Superior Court on December 18, 1998, adult video industry accountant and attorney Michael Daniels accused Extreme Associates and its owner, Robert Black, of withholding over $30,000 from Tom Byron Productions.

On the advice of their attorneys, Rob Black and Tom Byron have no comment. They remain the best of friends. In addition to running Extreme Associates, they live together. Rob and Tommy each won twice at the AVN Awards.

"I still haven't taken any ads out in February and March [issues of AVN]," said Black Thursday evening. "We're still able to make our payments... We've been in business for almost a year, and from the first day we started people have said, 'they're [Extreme] going to go out of business next month.' Well, we're still here. We've got a release schedule for the next two months.

"We're getting together with Ashlyn Gere tonight [Thursday]. She's dancing at Bob's Classy Lady in Van Nuys. We've got to go back over the shooting schedule [interrupted when Ashlyn hurt herself doing a stunt]. Ashlyn's going to be doing a lot more stuff in 1999."

Luke: "Did you make fun of Mrs. John Bone at CES?"

Rob: "This is the story. One day at the show, out of the blue, Mrs. John Bowen [Pawn] starts calling me names. 'You cocksucker. You asshole. You're a jerk. You motherf---er.' And everyone wondered 'who was that?' And I said, 'I think that was John Bowen's wife.' And they said, 'why did she come out of the blue and bust your balls like that?' And I said, 'I don't know.'

"Later on, when we were leaving the show, we saw her by the booth. And everybody started [imitating her Thai accent]: 'Oh you cocksucker Rob Black...' So then, while we were waiting for our taxi, she runs up and spits on me. And then that night we see them at dinner. And Hung Sung Pung [Pawn] jumps up screaming. Then Lizzy Borden goes, 'you f---ing pig.' And Bowen's wife came at us with a f---ing bottle. Big Dick Dudley twisted it out of her hand. Then Bubba Ray Dudley told Bowen, 'if you're f---ing wife hits anybody with a bottle, you're going down.'

"Then I took Bowen aside. 'John, you and I verbally go at each other. That's part of the game. Your [AVN] ad with pictures of Jasmine getting her teeth knocked out, that's funny. But this kind of assult is BS.' Bowen said he was sorry, that his wife was out of control. She doesn't realize that what we're doing is part of the game. She thinks its real. He apologized. And then I looked on the internet and saw that you printed that thing he wrote which was total bulls---. Now it's more than fun and games. I'll deal with Bowen in my own time. His wife, she's a f---ing gook from a third world country who doesn't realize that what we're doing is for the press.

"Vivid made 'Rob Who' T-shirts [in reply to the Extreme shirts 'Vivid Girls Suck, Extreme Girls f---']. Then on the last day, we've got it on tape, our crowd chanting 'Vivid Girls Suck.' Then they were screaming 'Rob Black Sucks.' All in all, Stevie [Hirsch] took it for what it was, just playing games. Another manufacturer commented to us, 'Rob, how did you hook up that deal with Stevie.' People thought Stevie and I planned this whole thing."

Black and Byron fly to Brazil next week to meet with the country's top porn distributor Video Lips and they may even say hello to Russ Hampshire's ex-partner Walter Gernert who flew home to Brazil Wednesday.

"Out of all of them [at VCA]," says Rob, "I like Walter because Walter made that company with his Dark Brothers... Walter created the filthy pornography with Greg Brown. They put girls in Klu Klux Klan outfits. Walter was the one with the balls, then Russ [Hampshire] took all the steam, the juice out of the company. I want to go meet the man, the legend Walter Gernert. And say to him, 'Walter, why does your boss [Russ] have a hard-on for me? Why don't you take back your company VCA?'"

Source: I hear that Rob threw a fit after your last entry about him and has lack of model releases. He was throwing things against the wall in his office. It appears that Rob is purging his office in an attempt to find the mole that is leaking information to you. Extreme hired a new bookkeeper. They haven't gotten rid of Kim yet. Extreme's new bookkeeper came from Bionca's production company. I don't think Bionca was pleased. Maybe Kim will work for her - fair is fair.

Extreme Associates landed in Brazil this morning to find disconcerting allegations about the company's financial health on this site. Sources say that Extreme owes AVN $9,000 (four pages of ads in the 1/99 issue) and several other people (including employees Van Damage and Tiffany Mynx) thousands of dollars.

Rob Black, Tom Byron, contract boy Luciano and Rob's dad Dominic Zicari got off the plane Tuesday morning PST after a 15-hour flight. They will stay several days in Brazil, whose currency is crashing against the American dollar, to talk to the country's top porn distributor.

I hear that Rob's dad, Dominic Zicari, has pulled the financial plug on his son's company. Dom has long been Extreme's main source of financial support.He's reportedly upset because certain big distributors, like General Video in Cleveland, won't take the Extreme product and Rob's pissing too many people off.

"We don't need my dad to back the company financially now because we pay our own way," said Rob Black Tuesday noon PST. Exhausted by his trip and annoyed by the allegations, he spoke in a hoarse voice by phone just before jumping in the shower.

"Come on Luke, why are you busting my balls?" asked Rob. "Talk to me... You've got me on the phone from Brazil. I just called up Tommy in his room. I told him there's all sorts of drama.

"Yes I owe AVN $9,000. That's nothing. It's for the January issue. One invoice. It's still January. I was there [AVN] in December because Paul [Fishbein] needed money [for Extreme advertising in the AVN 1999 Buyer's Guide special issue] and I brought him down $7000. I asked him about the $9000 for the CES issue, and he said 'don't worry about it because it doesn't come out until January.' So that's BS. Why doesn't anybody call Adam Film World? I take out three pages of ads with them. Jeremy Stone will tell you that I pay my bills. Ask my duplicator SB Productions. I pay my bills on time.

"My dad is here with us in Brazil. He still supports us. We don't need his money now. If I needed the money, would he be there? Of course.

"Everybody knows that GVA Cleveland won't take our product. They've known that since day one. Yes, I'm talking to a salesman. Whether he can get us into GVA Cleveland, who knows? I need a salesman because I don't have one."

Rob's been looking for big time salesmen who work for other companies so that he can get Extreme into more big distributors like GVA Cleveland.

I hear that some powerful pornographers with overseas money would pay Tom Byron big money now, while he's hot, to come work for them. Tom would be instantly rich. "He'd get treatment like John Leslie gets from Evil Angel, putting him in the big time," says a source.

"Tommy is an employee of Extreme and he does not own his videos," said Rob Black from Brazil. "Tommy ain't going anywhere."

Speaking by phone from his hotel in Brazil Tuesday afternoon PST (1/26/99), Tom Byron said: "Mike Daniels does not speak for me. We entered into a business arrangement and he did not live up to it. Rob Black is the only motherf---er in this backstabbing cocksucking business that I trust. I am perfectly happy where I am. He’s the only one who hasn’t lied to me. We fill in gaps for each other. I make the good movies. I know pornography and he knows how to sell it. Plus we’re best friends."

Daniels has kept the books for Tom Byron Productions since Tomy's days at Pat Collins' Elegant Angel. An accountant and an attorney who graduated number four in his law school class (Careena Collins, his porn star friend graduated number three), Daniels has long owned 25% of Tom Byron Productions. Tom owns the other 75%. According to his arrangement with Rob Black's Extreme Associates distributorship, Extreme Associates buys all titles that Byron makes.

Rob "Black" Zicari owns 100% of Extreme Associates and 100% of his own production company Extreme Video which has seven titles in the can including Lizzy Borden's Little House of Whores, Cocksmokers, Pornoman 2, Damage Report 1, 2. Rob's Extreme Associates has the rights to buy all the product of Van Damage Productions (which Van Damage owns 100%) and all the product of Tiffany Mynx Productions (which Tiffany owns 100%). These arrangements are similar to what Rob, Tom, Van and Tiffany had with Patrick Collins' company Elegant Angel. Then, Rob, Tom, Van, and Tiff all owned their own production companies but had binding agreements with Elegant Angel to sell to E.A. all their productions.

Van Damage is looking for work. He appeared in a Cream production two weeks ago with John Bone's new contract girl Jenny Lee McKenzie. I hear that Extreme owes Van almost $100,000. Black says this is nonsense.

"Where does [the number] $100,000 come from?" asked Black. "Van does not even own his own titles. I own his videos. Van is not a partner in Extreme. Van will never be a partner. He gets paid a director's fee. I own Extreme. I own Tommy's videos. Tom Byron owns nothing except Tom Byron Productions. Tom Byron is an employee. It's a misconception that they've [Tom Byron Productions?] told people that they own their own stuff.

"Tom Byron ain't going anywhere and he ain't looking to go anywhere. And after I get showered and dressed, I'm going up to Tommy's room and you can talk to Tommy."

I've heard that Tiffany Mynx says she was not paid for her recent feature.

Black: "Van and Tiffany are welcome to go out on the open market to see if anyone else will give them more money than I pay them. Tiffany was paid for her last feature. I've been supporting Tiffany Mynx for the last four months, paying her rent and providing her with a car. Tiffany Mynx has a lawyer's fee in excess of $10,000 [paid by Rob Black and Extreme] when she tried to steal $20,000 from Patrick Collins on that credit card fiasco. And my lawyers had to bail her ass out... And you can print that Tiffany Mynx is on such f---ing thin ice that I hope she can land a deal by the time I come back from Brazil. I hope she hocks herself out to VCA or Vivid or whoever she can find who will pay her more per feature than I pay her.

"February 1999 will be cleaning house month at Extreme Associates," promises Rob Black. "We'll be getting rid of the rats... We'll be clean by March 1st."

Rob feels that the knives are out since he left the country.

I hear that Black started Extreme Associates with a $90,000 personal loan from his father Dominic which he's been paying back the last three months. For the first six months of Extreme Associates, I understand, the cash advanced from E.A. to the various production companies (Tom Byron Productions, Van Damage Productions, Tiffany Mynx Productions) exceeded the revenue received by Extreme Associates from distributing said productions. Then in the fall of 1998, the situation turned around, and Extreme Associates supposedly began to owe money to the various production companies. When Tom Byron, for instance, needed money, he'd borrow it from Rob Black or from Michael Daniels.

Daniels became increasingly convinced that Rob Black was ripping off Tom Byron Productions. In the dispute between Daniels and Black, Byron sided with his buddy Rob Black.

Daniels is represented by attorney Michael Friedman. Few porno disputes reach this stage. Now that the case has reached the Van Nuys court, embarrassingly intimate financial documents are publically available. I hear there will be an out-of-court settlement soon, with Daniels probably walking away with about $50,000.

Rob Black phoned late Saturday night to put to rest the latest stupid rumor that Duped Luke had run.

Luke ran: "Rob Black’s rumored intention to bring promising young male performers back from his junket to Brazil has raised some poignant questions among the industry’s women. Although the idea of new working men is heralded as a refreshing notion, there is concern over the safety of their induction into the US talent pool. One young starlet believes women should be prepared to enforce their own comfort level quarantines on the newcomers. "I don’t know anything about Brazilian testing procedures, and I don’t have a lot of faith in South American medical procedures," she stated, adding that there is more than just the HIV issue to consider. "Rob may very well have a plan," she explained, "but it’s ultimately up to me to take care of myself.""

Rob said the rumor was ridiculous. "Why would I want to bring Brazilian guys back here?" Rob is not using any Brazilian male talent with his two Extreme contract girls who made the trip - Lizzy Borden and Jasmin St. Claire.

"We're shooting Brazilian girls," said Rob. "It will be Extreme Associates first 'safe sex' movie. Everything you'll see with them will have condoms in it. Perhaps we'll win a Safe Sex award from AVN. And Jasmine's doing a couple of scenes on the beach with Tommy Byron.

"Lizzy [Rob's girlfriend] doesn't do scenes anymore. She's becoming a director. Just like I did some scenes in my youth... She doesn't want to compromise herself by doing scenes and s--- like that.

"We've already finished one movie. We met with Brazil's top porn distributor (Clayton Fernandez's) Video Lips, and we have a deal in place with them. We go to Rio Sunday.

"We'll back to Los Angeles this week. I'm not going to do any Brazilian transsexuals. Nothing filthy like that. Totally protected safe sex."

Rob Black fired (by phone from Brazil) Tiffany Mynx  from Extreme Associates last Wednesday, at midnight, 2/3. She was told to pack her stuff and leave immediately. Van Damage found out afterwards.

Tiff ("a lazy pothead," says a source) lived at Tom Byron's house along with Rob, Van, Iroc, Lizzy Borden and some other Extreme contract girls (now referred to by one smut scribe as "the dog pound.") Mynx and Van have lived together in a romantic relationship for about a year, the last few weeks at Tom Byron's house. Tiff is filing for divorce.

What finally drove Black to fire Mynx was that she allowed Tom Byron's dogs to run away while Rob and Tom were in Brazil. Under the influence of marijuana, Tiff did not even notice. Black appears to conduct business on a personal level, operating from his gut.

Jasmine St. Clair has supposedly long been jealous of Mynx, who was supposed to go to Brazil with the boys but claimed at the last minute she lost her passport. Jasmine had to go down instead, cancelling several strip club engagements to the chagrin of her manager Charley Frey.

"I have never been jealous of Tiffany Mynx," said Jasmine St. Clair Thursday morning, 2/11/99. "She was the one who tried to get me fired. And all along I thought she was my friend. I requested her in one of my scenes and I always liked her. Next time you print something Luke, you should check your facts.

"Call Rob's office and they can tell you exactly the truth about her and how she tried to have me fired once and all the nasty things she said about me behind my back. I was nothing but nice to her. We even exchanged Christmas presents. I never considered her to be an enemy.

"If I was so jealous of Tiffany, why would I give her Charley Frey's phone number for dance gigs? Why did I give her the phone number of Marina studios to make some extra money doing a photo shooot? I treated her like a sister. She was two-faced to me and several other female performers have had similar experiences with Miss Mynx.

"I don't know why you don't like me, Luke, and why you have it in for me. It's flattering. Keep talking about me."

Luke talked to Rob Black Wednesday afternoon, 2/10.

Luke: "Why did you fire Tiffany Mynx?"

Rob: "I don't know. I've laid down a new rule and I'm not talking to reporters because everyone keeps burning me and biting me on the ass. And I was the first person, company owner - distributor, to openly talk to you and now it is just a big whirlwind of bulls--- and I don't feel like being part of it anymore.

"I always thought that me and you had a cool relationship. Then I'm in Brazil and you're printing all this bulls--- without you even talking to me. So that hurt my feelings.

"We signed Chandler seven months ago, briefly, then she left. We've almost settled the lawsuit with Byron's former accountant [Mike Daniels]. Everyone is happy. I'm sitting in my office now looking at Lizzy Borden, Dave Pentacoff and Van Damage. We looked at a new building today [for Extreme Associates]."

Luke: "You guys all live together at Tommy's place."

Rob: "Yeah... It's ok... I've got a cold. I've had one for two weeks. I'm sitting here paying bills..."

Marcus Killus: "Rob Black whines like a bitch.With the way he fires ammo his armour is pretty thin. Considering the brutal manner in which he projects sex and his callous stupid racial remarks he should be armoured like an M1 Abrams. Several months ago, Van lost the lease to his house. Rob Spallone now rents the place as a studio.

Some have said that Rob Black and Extreme Associates owes Van $100,000 but this figure seems greatly excessive. Perhaps the number has been confused by Rob's offer to Van to sign him to a five-year contract for about $100,000 a year.

Thepopsicle@aol.com writes on RAME: "Rob said that Tiffany should hawk herself out to anyone that would take her because she is "on thin ice." Tom Byron's former accountant sued Extreme for money borrowed from him. he should get his $50,000 back. Tom is still under Rob's spell. Rob said Tom is not going anywhere. He is an "employee" of Extreme. So much for owning your own product and making more money! Apparently Rob borrowed the money from his father to start Extreme and is now attempting to pay that back. Rob (Black) Zicari owns 100% of Extreme. It was never a partnership. Wake up Tom Byron! He is nothing without you. All I have is one question. Did he make more money this year or last year? Rob doesn't care about Tom. Rob is using him like a pimp."

The 2/99 AVN contains a damaging article on Stryc9's (who resembles Tricia Devereaux) departure from Extreme Associates. She claims that she and other Extreme contract girls (who earn about $2000 a month, aside from Jasmine) hadn't been paid in months, that she contracts STDs on Extreme sets adn that Extreme refused to pay for her medical bills. Rob Black says this is all BS.

Mike South: "I know Van Damage, Tommy Byron and Rob Black pretty well. I know Van is ex military, some say he was a Navy Seal, some say he was discharged for not following orders very well. I don't know about all that but I do know that Van is a horse. For that reason I don't see Rob Black telling Van in person that he and Tiff are fired. If he did maybe Rob is a bit ballsier than I think. Regardless Van is an even tempered fellow. Van started in the biz with Greg Alves (VG Productions). Greg got the gig at Elegant and brought Van along. When Greg left EA all the guys bagged on him about being dishonest and all that, and they all thought Patrick was a great guy. I always felt that Greg was 90% of the brains behind EA, that was the main reason I was there. Van could get on his knees and go to Greg and ask forgiveness and maybe end up at Metro. Greg would probably take Van in too.

"Too bad Van and Tommy didn't see what I saw when Extreme was formed. I would never have joined, not that I was asked. I think Rob may have pegged me for smarter or something."

A source on Rob Black and his legal problems with accountant Mike Daniels, a partner in Tom Byron Productions:

"I know Rob Black and Mike Daniel's; there is a big contrast between these two; and it is interesting how and why they got into their dispute. I have paid close attention to their dispute; it is amazing that Mike puts up with anything that Rob dishes out. It is also amazing that Rob's attorney continues to work for him.

"Just look at the individuals involved here. Mike Daniel's has three college degrees.....a law degree, accounting degree and a degree in taxation or something like that. He is a very nice and smart guy. He has helped me out of a few legal jams. Mike Daniels is a genius in web site programming; he does web sites for many people. I have seen his work. Mike Daniels has his own business in which he used his own money to build. Rob Black on the other hand films people f---ing. I don't even know how far Rob got in school. Rob took $96,000 from his father to start Extreme Associates. He even has trouble paying the women he films; and for that matter many of his other bills. He talks like a big shot; but without his father's money he would probably be cleaning bathrooms.

"Regarding your Update 2/8: Tiffany [Mynx] would not notice a nuclear war; so that she let Tommy's dogs out does not surprise me. Tiffany really is not very bright, but she is good hearted and means well. She really has a thing for Van. "Rob and Mike "are not even close" to settling any lawsuits. they are so far apart they may never settle. This case will probably go to trial. I know Mike Daniels, and he will hold out till the end, especially with Rob Black as his adversary. He will take the case to trial just to make a point. Rob Black wants this case to go away very bad; he has been getting pressure from his father to get rid of the case because more and more sensitive financial information is becoming public record. His father is furious about the case and believe it or not, he [Dominic Zicari] has always spoken highly of Mike Daniels.

"Tom Byron is probably not even aware that a case is going on. Tom should kick the habbit and get back on the straight and narrow. He was a pretty nice guy before he met Rob. Tom is not going to get anywhere financially at this rate. He will end up like that Dirk Diggler in Boogie Nights, beating off on the streets for $20. Also, the bookkeeper at Extreme has been complaining to certain sources about Rob yelling at her and blaming her for stuff like bounced checks and misprints on the boxes."

A contrary source replies: "If "the source" really knew anything about Tom Byron's legal problems he would know that Mike the con man Daniels tried to steal 25% of Tom's production company. He gave Tom a few thousand and a lot of promises that he would give him more money down the road. As soon as Tom signed papers he didn't understand Mike tried to get money the next day. The proof of this if the source would dig deeper is that 25% of Tom's production company is worth at least $125,000.00-150,000. Mike the con tried to steel it for a few thousand dollars.

"Extreme has nothing to do with this problem. All Extreme and the lawyers are trying to do is get Tom back what rightfully belongs to him. Mike the con should be careful that he does not lose his accounting/law license for malpractice.

"The source clearly states that Mike is a very educated man with his three degree. What degree does Tom have, maybe a high school degree. Tom trusted him and Mike took advantage of his trust. Just think about it source where can you buy 25% of a production company for a few thousand dollars? Tom is lucky that Rob Black and a few close friends saw through this scam of Mike's."

Mike Daniels replies: "Much of the stuff posted on the site is a little off. My attorney has advised me not to talk to anyone. However, I must set the record straight. On settling: we are working towards making a deal.

"On being a con man and taking money from Tom Byron Productions, Inc. After becoming a shareholder, I never took one dime from Tom Byron Productions, Inc., not in loan pay backs, not in fees, nothing. Our sworn court papers will bear this out.

"In papers filed with the court, you will see that 1. Extreme Associates earned a substantial amount of revenue from Tom Byron Productions, Inc. and 2. they [Extreme] were paid back in full the money they advanced to Tom Byron Productions, Inc. I [however] ended up with a huge credit card bill, a big hit to my bank account, and a substantial amount of firm time that will never be paid. Our sworn court papers will also bear this out.

"As far as their claim of malpractice, that is a legal term and I don't believe whoever wrote that response would be qualified to make that legal conclusion. Nevertheless, this is something that will have to be proven. They have been throwing around malpractice since we first engaged in this dispute. I don't take well to threats, but it is all they have at this point.

"I have not and will not resort to name calling and threats. That is not a proper manner in which to handle a lawsuit. That manner of dealing with this situation, could come to hurt your case in the end. I will proceed forward on this matter, methodically, on the facts and law, and on evidence and documentation."

March 1, 1999

Luke collected legal papers at Van Nuys Superior Court relating to the Rob Black vs. Tom Byron Productions case. Tom's partner Mike Daniels is suing Black and his Extreme Associates.

In a signed statement 1/13/99, Black swore that all agreements between him and Tommy were oral. "At the time, Extreme Associates loaned money to Tom Byron Productions to help finance his movies. I never negotiated any contracts on behalf of Extreme Associates and Tom Byron Productions with Michael Daniels [a 25% owner of Tom Byron Productions]. There were never any contracts negotiated between myself and Michael Daniels regarding Tom Byron Productions."

Mike Daniels' case alleges:   

STATEMENT OF FACTS: This is a combination of two cases: One is a shareholder derivative suit (first cause of action) where plaintiff is asserting the claims of defendant TOM BYRON PRODUCTIONS ("TBP") against defendant EXTREME ASSOCIATES, INC. ("Extreme") for an accounting (second cause of action,) breach of contract (third cause of action,) and money had and received (fourth cause of action,) and for breach of fiduciary duty against defendant THOMAS TALIAFERRO aka TOM BYRON ("Byron") (seventh cause of action). The other case involves Plaintiff's own claims against defendant TBP for breach of contract (fifth cause of action,) and money had and received (sixth cause of action,) as well as Plaintiff's claim against defendant Byron for fraud (eighth cause of action,) and against defendant ROBERT ZICARI aka ROB BLACK ("Black"), defendant Extreme's president, for interference with economic relations (ninth cause of action.)

All of these claims arise out of the following facts:

A. FORMATION OF TOM BYRON PRODUCTIONS

Defendant Byron is an actor, producer and director of adult videos.[Daniels Dec.16 ¶ 2] Until April 1996, Byron worked exclusively for others. On April 5, 1996, plaintiff, an accountant and attorney, filed articles of incorporation for defendant TBP. Byron was TBP's sole shareholder and director. [Daniels Dec. ¶ 4] Plaintiff continued to perform legal and accounting services for both TBP and Byron. During this time, plaintiff and Byron formed a friendship in addition to their business relationship. [Daniels Dec. ¶ 3] Plaintiff thus allowed Byron to become indebted to plaintiff for his professional services rendered in the approximate sum of $10,400.00. [Verified Complaint¶ 11]

COMMENCEMENT OF PRODUCTION ACTIVITIES

In February 1998, Byron terminated his business relationship with Elegant Angel, a video producer and distributor for whom he performed in and directed adult videos. Defendant Black, also an adult video producer, terminated his relationship with Elegant Angel at the same time and formed a new corporation, defendant Extreme, to distribute adult videos made by Byron and two other performers who also left Elegant Angel, Tiffany Minx and Van Damage. Plaintiff then began to perform legal and accounting services for Extreme. [Verified Complaint, ¶12]

In spring 1998, Black and Byron reached an oral agreement regarding Extreme's distribution of TBP's videos. Extreme would advance the production costs and distribute the videos in exchange for twenty-five percent (25%) of the gross domestic income, plus reimbursement of production, marketing and advertising costs. The remaining sums collected by Extreme would be paid to TBP, including 100% of the money derived from the sale of foreign distribution rights to foreign distributors. Defendants Extreme and TBP performed pursuant to this agreement, producing 3 videos between April 1,1998, and May 31,1998. [Daniels Dec. ¶ 5] During this time, TBP incurred approximately $66,000 in production costs and other expenses. However, it earned only approximately $33,600 in revenues from video sales, all of which was used by Extreme to reimburse itself for advanced production costs, leaving TBP indebted to Extreme for over $30,000, and leaving Byron cash-strapped and unable to meet his monthly personal expenses. [Daniels Dec. ¶ 6]

PLAINTIFF'S INTEREST IN TOM BYRON PRODUCTIONS

Byron attempted unsuccessfully to obtain credit in his own name. Therefore, he regularly sought small loans from plaintiff and inquired of plaintiff whether he knew of sources for additional financing for TBP.

Plaintiff attempted to assist Byron, lending him $8,000 over several months and inquiring of others whether they were interested in lending money to TBP. However, the high-risk nature of the investment precluded plaintiff from securing financing for TBP. [Daniels Dec. ¶¶ 7-11; Verified Complaint¶ 15]

In May 1998, plaintiff obtained an American Express credit card for TBP ("company card") with a $15,600 credit limit. Plaintiff allowed Byron to use the company card for his business expenses. In return, Byron verbally agreed to repay the full balance of each monthly statement as and when due. This additional financing enabled Byron to meet his monthly expenses and begin production on a new video. [Daniels 12, Verified Complaint 16]

Because plaintiff and Byron had an attorney-client relationship, before any agreements were made, plaintiff provided Byron with a letter on May 19, 1998, informing of their potential conflict of interest and advising him to seek the advice of independent counsel.

Two weeks later, plaintiff and Byron agreed that plaintiff would forgive the $10,400 owed him in exchange for 25% of TBP's shares. This agreement was reduced to a written Subchapter S Shareholders Agreement; with Byron receiving a guaranteed sum of $30,000 annually, and plaintiff receiving an annual sum equal to 25% of TBP's net profit, after deduction of production costs, the $30,000 to Byron and net expenses. Byron further agreed to pay plaintiff $750 per month to continue performing legal and accounting services for TBP...

From June 1998 to November, 1998, plaintiff continued to make loans to TBP for an additional $9,000 for payment of production costs and business expenses, bringing the total up to $17000

D. Tom Byron Production's Operations

Between June 1, 1998, and October 31, 1998, TBP produced three more videos, bringing the total number of videos produced to six. Although TBP earned $126, 152 at this time, all of it was kept by Extreme for reimbursement of production advances for the six videos and its 25% distributor's fee, reducing TBP's debt owing to Extreme to only about $8,000. [Daniels Dec. ¶ 15]

However, from October 1,1998, to November 6, 1998, Extreme collected $43,049 in revenues from the sale of the foreign rights to the videos it distributed, including TBP's videos ("foreign money"). Extreme never allocated which portion of the foreign money was for TBP's videos, and it never paid any foreign money to TBP. Plaintiff believes that approximately $14,000 of the foreign money should be allocated to TBP, obligating Extreme to pay TBP $6,000 for the foreign money earned in that one month alone. [Daniels Dec. ¶ 23]

Between June 1998 and October 1998, charges totaling approximately $15,000 were placed on the company card. Byron incurred these charges for both business and personal expenses. In addition thereto, Byron gave the company card to Black and others, for their own use. As a result, the available credit was quickly exhausted. [Daniels Dec. ¶T 13 Verified Complaint ¶ 26]

E. PLAINTIFF'S DISPUTE WITH TOM BYRON PRODUCTIONS

On several occasions in October 1998, plaintiff refused to make loans requested by Byron. Plaintiff offered to loan Byron $1,500 per month, but not more. Plaintiff explained to Byron that TBP was nearly out of debt to Extreme and that the foreign money owed for October would put TBP over the top, causing it to start generating monthly revenues of approximately $35,000. Extreme's failure to allocate the foreign money and pay TBP its share, however, kept Byron in need of additional money. [Daniels Dec. ¶ 15; Verified Complaint ¶ 27]

On November 4, 1998, Byron and Black met with plaintiff. At the meeting, Black asserted that TB P's production budgets were too high and that this was Plaintiff's fault. He further charged that plaintiff should not be charging TBP $750 per month for professional services since he owned 25% of TBP. Plaintiff, however, never received $750 per month from TBP since the agreement was made. In fact, plaintiff never received a penny from TBP at any time since he acquired his ownership interest. On November 12,1998, Byron and Black met with plaintiff for the purpose of terminating Plaintiff's professional services for Byron, TBP and Extreme, and retrieving from plaintiff all of TBP's books and records. On November23, 1998, plaintiff made written demand to inspect the current books and records of TBP pursuant to California Corporations Code §1601. Byron allowed plaintiff to obtain TBP's records which revealed, among other things, that TBP, although projected to receive over $35,000 from Extreme, received only about $3,600, with no explanation for the discrepancy between TBP's projected and actual income for the month of November. Plaintiff further learned that, as of November 19,1998, Black was signing checks written on TBP's account. [Verified Complaint ¶¶ 29-33]

Plaintiff believes that Extreme now owes TBP in excess of $50,000, and has not paid TBP anywhere near that sum. [Daniels Dec. ¶ 22; Verified Complaint ¶ 33] In December only about $10,000 was deposited in TBP's account and none has been deposited to date in January. [Friedman Dec. ¶¶ 3A] There is less than $400 in TBP's bank account, yet Byron was projected to receive approximately $35,000 per month from Extreme. At the same time, Extreme Video, Black's own production company owes Extreme well over $100,000. In other words, it appears that Extreme is loaning the money it owes TBP to Black's production company and not paying it to TBP. Plaintiff also believes that some payments are being made directly to Byron and/or his creditors rather than paying TBP. [Daniels Dec. ¶¶ 18-19] Therefore, TBP appears to have no revenues with which to produce its videos or to repay plaintiff for his loans, totaling $31,638.86.

THE COURT SHOULD GRANT PLAINTIFF'S APPLICATION FOR WRITS OF ATTACHMENT AGAINST TBP AND EXTREME

Plaintiff's claims against TBP and Extreme are based upon verbal commercial contracts - the distribution agreement between TBP and Extreme and the loan agreements between plaintiff and TBP. The distribution agreement required Extreme to pay TBP over $50,000 as of December 1998, and the loan agreements required TBP to repay Plaintiff's loans when TBP started generating revenues.

Plaintiff's claim is for a fixed amount -$31,638.86. Plaintiff seeks writs of attachment against both TBP and Extreme in this amount. In fact, Extreme owes TBP much more than the amount sought in the application for writ of attachment, and a writ of attachment could be issued for the actual amount due, since it is a readily ascertainable amount from a review of Extreme's records, kept on the "QuickBooks" computer program.

Plaintiff, however, seeks a writ of attachment for the lesser amount because it is the sum of his unpaid loans to TBP. Plaintiff reserves the right to seek additional writs of attachment fora greater sum on behalf of TBP against Extreme after discovery has been conducted to determine how much Extreme has become indebted to TBP since December 1998. This application is for the fixed sum of $31 ,638.86 because plaintiff already has the documentation to determine the exact amount of his loans.

The debt owed to plaintiff is not secured. Plaintiff's loans were not made in order to purchase TBP's stock. The consideration for the stock purchase was the forgiveness of his bill for past services rendered, totaling over $10,000. Moreover, even though TBP will continue to own the masters of the videos it has produced, the value of those videos are realized, in substantial part, during the first six months after their release. Therefore, the provisional remedy of attachment is particularly appropriate since TBP does not have sufficient funds in its account to produce any new videos and the money generated by the already-released videos will have been earned, collected and spent before this case goes to trial. A writ of attachment in this case will only maintain the status quo, not put TBP or Extreme out of business.

Plaintiff's has established the probable validity of his claims against TBP and Extreme. As their accountant, plaintiff had access to accounting records of both TBP and Extreme. In all likelihood, plaintiff is the person most knowledgeable about TBP's and Extreme's finances.1

1Plaintiff is very concerned that Byron does not realize or believe that Extreme owes TBP money. Byron is close friends with Black. Plaintiff has been unable to get Byron to review the documents showing what Black is doing to TBP, and Byron is now represented by Black/Extreme's attorneys, further insulating Byron from plaintiff. Black has not acted in the best interests of TBP but Byron, who is a film-maker, not an accountant, does not yet recognize this fact. All Byron knows is that he needs money and Extreme has lent him money. He does not appear to realize he is being lent money Extreme already owes TBP.

Plaintiff has documentation, both checks and invoices, to show that he made loans and extended credit to TBP in the sum of $31,638.86. [Daniels Dec. Exhibits B-D] He has offered financial records from Extreme showing that in October 1998, TBP's videos earned over $35,000, but that payments to TBP in November were only about $3,600. [Daniels Dec. Exhibits E-F]

Plaintiff has provided a detailed declaration and a verified complaint setting forth the financial information available to him, all of which evidence that Extreme is withholding money from TBP, which money is more than sufficient to repay plaintiff the loans he made. Because plaintiff is also an attorney and has rendered legal services for Byron, plaintiff has also offered evidence that his transactions with Byron were fair and reasonable.

First, plaintiff notified Byron of the potential conflict of interest between them, asked for a waiver of the potential conflict, and advised him to seek the independent advice of counsel on May 19,1998. [Verified Complaint, Exhibit E] On June 3,1998, Byron executed the waiver. Although it appears that Byron did not seek independent counsel's advice, the opportunity plaintiff gave him to do so was adequate, and no time deadline was ever given by plaintiff in which Byron had to accept or reject Plaintiff's stock purchase offer. The terms of Plaintiff's agreements with Byron were fair and reasonable to Byron. The loans were interest-free. They were due and payable, except for minimum monthly payments, when TBP was generating revenues with which to repay them. As for the stock purchase agreement and professional service agreement, they are not the basis upon which this attachment is sought. Nevertheless, they are also fair and reasonable. The stock purchase agreement was made at a time when TBP had a negative net worth and an inability to obtain adequate funding. Plaintiff forgave a bill for services rendered over the preceding 1-2 years, totaling just over $10,000, and Byron had no other asset to offer plaintiff for payment of his services except stock in TBP.

Lawyers (Goldberg, Burke & Stull) for Rob Black's Extreme Associates filed this rejoinder 1/19/99:

Plaintiff Michael Daniels, who was an attorney, accountant and business manager, and in addition handled all the banking and financial services for Defendeant Tom Byron, muscled his way into Tom Byron Productions and obtained a 25% ownership of the company on June 3, 1998... Mr. Byron gave up this 25% ownership of potential multi-million dollar company for a mere $10,700 in unpaid legal and accounting fees which were owed to Plaintiff [Daniels].

Plaintiff's obligations in this business venture was to provide financial supprt and legal and accounting services... Plaintiff provided some financial backing but never enough to produce even one video...

Sometime in late July or early August of 1998, when Plaintiff realized the amount of financial support it would take to run TBP, Plaintiff decided he was no longer interested... Plaintiff therefore ceased paying Tom Byron's bills including...rent and telephone... At that point, Tom Byron was stuck between a rock and a hard place and the only person who would give him financing for his movies was his distributing company, Extreme Associates...

Plaintiff is trying to claim that Extreme Associates owes Tom Byron Productions...money. Plaintiff has not established the factual relationship between Extreme Associates and Tom Byron Productions.

Plaintiff is bringing this action for a purpose other than recovery of the claim. It is evidenced in the posting of an e-mail on the Luke F-rd Website January 7, 1999, where Plaintiff states "Tom's videos are selling well domesticaly and overseas. He shouldn't always have to worry about financing his next video. I hope this lawsuit will help Tom continue to make his own videos. That was the whole point of his leaving Elegant Angel last year, and I believe there are plenty of distributors besides Extreme Associates who would be interested in his work."

It is clear from this e-mail that PLaintiff has an ulterior motive in filing this lawsuit. He states that he hopes the lawsuit will continue to help Tom make his own videos and break away from Extreme Associates. His goal by filing this lawsuit and posting it on the Internet is to break up Tom Byron Productions and Extreme Associates. Plaintiff knows that if he can break these two entities up that his own other companies that he is heavily involved in Seymore Butts and Bruce Seven Productions would sell more videos in the industry.

Declaration of Thomas Taliaferro [Tom Byron]

In February of 1998, Tom Byron Productions entered into a busienss relationship with Extreme Associates, an adult film distribution company. I was the President adn sole shareholder of TBP... I negotiated all contracts regarding films produced by my company. None of those agreements between Tom Byron Productions and Extreme Associates were ever put in writing.

Plaintiff [Daniels]...has served for approximately two year years as my business manager... I gave him all of my money and trusted him to do the right thing with it.

On February 8, 1999, attorney Michael N. Friedman filed this rejoinder for plaintiff Mike Daniels:

Defendants' [Extreme Associates, Rob Black] opposition highlights how few factual disputes there are between the parties hereto. Tom Byron admits that he owed plaintiff $10,700 in June 1998 Tom Byron admits that the consideration for plaintiff's 25% interest in Tom Byron Productions, Inc. ("TBP") was plaintiff's waiver of the $10,400 debt. [Byron Dec. ¶ 6]

Tom Byron admits that plaintiff explained to him the potential conflict of interest between them [Byron Dec. ¶ 6], and does not deny that, weeks prior to June 3,1998, plaintiff recommended that he seek the advice of independent counsel but did not do so. [Byron Dec. ¶ 7] Tom Byron further admits that TBP authorized plaintiff to receive $750 per month for his professional services [Byron Dec. ¶ 9] Tom Byron admits that TBP had an American Express card which he used and which he allowed Robert Zicari to use.[Byron Dec. ¶ 12) Tom Byron admits that he had no money himself with which to finance TBP [Byron Dec. ¶ 14], but that Extreme Associates, TBP's distribution company, loaned money to TBP as did plaintiff. [Byron Dec. ¶ 14] Tom Byron admits that plaintiff requested authorization for TBP to sue Extreme Associates but that he C 12 refused to give such authorization. [Byron Dec. ¶ 18]

In addition to agreeing with the vast majority of contentions made by plaintiff in the complaint and applications for writ of attachment, defendants did not offer any evidence to dispute many of Plaintiff's key contentions. Most importantly, neither Tom Byron nor Robert Zicari, both of whom submitted declarations with defendants' opposition, deny that Extreme Associates owes Tom Byron Productions in excess of $31 638.86, the amount plaintiff seeks to attach. Moreover, neither Tom Byron nor Robert Zicari denied that plaintiff made loans to TBP, nor did they state any facts establishing that the terms of the loan transactions between plaintiff and TBP were not fair and reasonable, nor did they claim that the amount of the loans is inaccurate.

There are only a very limited number of material issues in dispute. They appear to be as follows: (a) Whether the amount which plaintiff seeks to attach represents loans made to TBP or Plaintiff's capital investment in TBP; (b) Whether Plaintiff's waiver of his bill to TBP for $10,400 was fair and reasonable consideration by itself for Plaintiff's 25% interest in TBP; (c) Whether Plaintiff's alleged breach of his obligations to TBP precludes him from recovering loans he made to TBP; and (d) Whether plaintiff is seeking this attachment for an improper purpose.

As set forth herein below, plaintiff contends that he purchased his 25 interest in TBP for the amount TBP owed him, i.e., $10,400; that said sum was a fair and reasonable price to pay; that plaintiff made loans to TBP independent of his stock purchase; that TBP is owed sufficient funds from Extreme Associates to pay back plaintiff's loans; and that plaintiff is not seeking writs of attachment for an improper purpose just because he provides accounting services to other production companies and would like TBP's videos to be distributed by a more honest and reputable distributor.

PLAINTIFF SEEKS TO ATTACH AN AMOUNT EQUAL TO THE SUM OF HIS LOANS TO TOM BYRON PRODUCTIONS - NOT THE BALANCE TBP OWED PLAINTIFF FOR HIS PROFESSIONAL SERVICES

Plaintiff contends that he purchased his 25% interest in TBP for $10,400, which is the amount TBP and Tom Byron owed plaintiff as of June 1998 for Plaintiff's U, IL U, 14 professional services. Despite having no evidence on this point whatsoever, the defendants claim that "the loans made by Plaintiff to the corporation were not personal loans to be repaid, they were part of his investment as a part owner of the corporation." [Opp. p.4, lines 7-9) The arguments of counsel, however, are not a substitute for evidence. The consideration for Plaintiff's purchase of TBP's stock is described in Plaintiff's "Offer to Purchase Stock," dated June 2,1998 (Defendants' Exhibit A). The offer relevantly states that";[t]he purchase price shall be... [t]he discharge of all outstanding amounts due as of June 1, 1998 from Tom Byron Productions, Inc. to Michael D. Daniels for legal and accounting services."

The acceptance of Plaintiff's offer is contained in a document entitled "Consent to Action in Lieu of Annual Organizational Meeting of the Board of Directors of Tom Byron Productions, Inc." (Defendants' Exhibit B), which recites that ";the issuance of 250 shares of stock to Michael D. Daniels is in the best interest of the corporation"; The status of Extreme Associates, including the issues raised in this lawsuit, have been the subject of extensive coverage by adult video journalist/gossip columnist, Luke F-rd, on his website at www.l-keford.com. Defendants relied on statements published by Luke F-rd in their opposition. Attached hereto as Exhibit A are excerpts of a print-out of Luke F-rd's 15-page column for Update 1/27/99, wherein he interviewed Rob Black and Tom Byron regarding their relationship and the subject matter of this investigation.

There are three other issues which clearly mitigate in favor of granting plaintiff's applications: (1) the joint representation of Extreme Associates and TBP by attorneys Goldberg, Burke & Stull presents an insurmountable conflict of interest; (2) Rob Black has completely contradicted his position in this action in media interviews, claiming that Extreme owns TBP's videos and is not merely TBP's distributor; and (3) Defendants have repeatedly violated the Court's protective order requiring no transfer of assets outside of the ordinary course of business and further requiring defendants to notify plaintiff of any payments to or for Tom Byron or TBP.

A. Conflict of Interest Considering that allegations have been made and proof offered which has not been disputed that Extreme Associates is withholding money from TBP, it is nothing less than remarkable that both Extreme and Byron are represented by the same counsel. This has been the greatest impediment to proving to Byron that TBP is owed a substantial sum of money from Extreme. Plaintiff must go through Extreme's lawyer to provide Byron with the evidence which shows how Extreme has been withholding $20,000-$30,000 per month since November 1998. Under these circumstances, a right to attach order against Extreme will protect both plaintiff and Byron, who is not receiving representation by independent counsel.

B. Robert Black is Lying About the Facts. In defendants' opposition, they admit that Extreme Associates is the distributor of TBP's videos. However, in his Luke F-rd interview (Exhibit A), Black states that Extreme owns TBP's videos and that Byron is merely his employee. Black was quoted as stating: "Tommy [Byron] is an employee of Extreme and he does not own his videos." He further stated: "I own Extreme. I own Tommy's videos. Tom Byron owns nothing except Tom Byron Productions. Tom Byron is an employee. It's a misconception that they've told people that they own their own stuff."; What Black is attempting to accomplish by lying to the press is unclear. All of the documentation of the financial dealings of Extreme and TBP prove that Extreme was just the distributor. Even the box covers of TB P's videos indicates that TBP is the copyright holder and Extreme is the distributor. (See Exhibit B hereto)  However, it appears that Black may be attempting to steal the rights to TBP's videos. Since TBP's primary assets are Byron and the videos he makes, a right to attach order against Extreme may enable TBP to repay its loans to plaintiff.

C. Defendants Continue to Violate the Court's Protective Order

At present, the same $380 is still in TBP's bank account and their have been no deposits into the account in January 1999. However, various creditors of TBP have confirmed that TBP is current in its payments for Byron's Mercedes Benz automobile and the insurance for the auto. TBP is current in its rent for Byron's residence and payments appear to have been made to the Franchise Tax Board for back taxes owing. There is no question that these payments have been made by Extreme as that is Byron's only source of income. However, no notice has ever been given by Extreme or TBP, both represented by the same counsel, regarding the money used for these payments. Prior to the Court's issuance of the protective order, Extreme did not pay for TBP's expenses, just productions costs. Extreme's payments are not in the ordinary course of business and plaintiff should have been notified of money paid by Extreme on Byron's or TBP's behalf. This is a clear evasion of the Court's order and Byron, who has already once been convicted of federal tax evasion, continues to conduct himself in a lawless manner.

Scoop on Luciano's Priapism

I was concerned up to yesterday's event that I might have to resort to shooting it period, from now on, to get a hard on. I didn't want to resort to that because it's horrible. If I had to, I'd do Viagra, but not shoot my dick. It was hard and I was f---ing her, and I came from it; and then like four hours later we started messing around again. She started sucking on it. Luciano said he did have priapism that left him hard and erect for 23 hours. "I couldn't stand up or zip my pants. I was in so much pain," Luciano says. "It was a nightmare. But when I got back I went to see the doctors. I told Rob I can't work what can I do. I wanted to see if he'd offer me something else to make money. He offered me a bunch of stuff and editing was one of them. I've been editing all last month. I made a lot of money from it. I picked it up pretty quick. It's pretty cool. In a way, because of this problem, I'm editing. If I didn't have this problem, I wouldn't have thought of doing it. It's kind of like a blessing in disguise. But I hope I can back to performing like I used to, and maybe direct my own thing now. Maybe this was all meant to happen. I don't know. It seems that way. Rob offered me other options. I'm going to start writing a script and shoot my own
stuff, not be in it, but direct it. But it's not true that they [Extreme Associates] didn't help me. That's false. Totally."

Extreme's new salesman John Blatt is persuading Rob to tone down his product so that he can sell it more widely. Extreme may start producing soft box covers (no scene sof penetration on the covers) to sell in mom and pop video stores.

Blatt, a 15-year veteran of porn, told www.geneross.com 3/4: "I've put the word out with the distributors. They know what's going on. I'm teaching these guys [Extreme Associates] not to be so vocal and more political. I need to go to a place where they're starting from scratch. The people who are willing to take a chance and move on to certain things, they always become successful."

"I know everybody by name and their families," he says. "I'm pretty much an asset everywhere I go. They [Extreme] need that desperately. I know I can do good things for them. They're doing huge numbers, but they don't have any organizational skills. I'm really mellowing them out."
