Class Action Suit Against Metro
NEW YORK--(BUSINESS WIRE)--Nov. 23, 1999--A class action complaint has been filed in the United States District Court for the District of Rhode Island on behalf of all persons or entities who purchased or otherwise acquired the securities of Metro Global Media, Inc. (``Metro Global'' or the ``Company'') (Nasdaq:MGMA - news) between September 13, 1996 and September 13, 1999, inclusive (the ``Class Period'').
The lawsuit against Metro Global and certain of its present and former officers and directors for violations of the Securities Exchange Act of 1934 arises out of a series of false and misleading statements concerning the Company's reported financial results made during the Class Period.
These reported financial results were materially inflated as a result of Metro Global's failure to properly record embedded interest related to its convertible preferred stock and debentures, improper amortization of its film library, and improper classification of a related party transaction, all in violation of generally accepted accounting principles (``GAAP''), contrary to the Company's representation in its financial statements.
On September 14, 1999, the Company announced that these accounting improprieties required a restatement of its financial statements for fiscal years 1996, 1997, and 1998, which would reduce the earnings reported for these years.
The Complaint alleges that as a result of these false and misleading statements the price of Metro Global securities were artificially inflated throughout the Class Period causing plaintiffs and the other members of the Class to suffer damages.
Trading in the Company's stock has been suspended since September 14, 1999.
During the Class Period, it is alleged, defendants were motivated to artificially inflate the price of its securities because of the Company's reliance on its common stock to raise substantial sums of money and to pay its debts. The Company frequently used its stock as currency, including to raise over $2 million and to pay debts of $230,000 in fiscal year 1998, and to raise over $10.7 million in fiscal year 1999.

Well, having presently corresponded, and having corresponded on the behalf of http://www.homegrownvideo.com in the past, I don't particularly feel "stupid"- and I've deferred to outside opinions on this as well.
I do however feel, from a most objective perspective, the obvious irony of Mr Kernes' statement. I believe the point has been previously propagated that l-keford.com is working from a distinct angle- that of being protected by the ubiquitous defense called "Free Speech". Hell they even named a Coalition after it. I don't agree with all of what it said on l-keford.com- some of it is akin to screaming "fire" in a crowded theater- but for the most part, no matter how outrageous it is, it is still to be considered free speech. You may be reckless at times but the comforting fact remains that you answer to nobody, something that cannot be said of the AVN staffers I've encountered in the past.
When has Mark Kernes produced a hard-hitting piece of journalism? AVN ran a glowing, almost salesmanlike piece on Dechtar just months before they stiffed customers for hundreds of thousands of dollars. I think that is "stupid". Mark Kernes should learn to accept the existence of detractors to our industry, as we are by no means perfect and we should not expect to be insulated from criticism.
As for the Free Speech Coalition itself, I stopped contributing money long ago- my money is squarely on Mike Ross. I think he's done way more in a shorter time than the FSC, Sharon Mitchell's AIM efforts notwithstanding.
Regarding the sweeterotica.com lawsuit against PersonalPorn, I know the guys from sweeterotica well - they are some of the most honest and hard-working individuals I've met. Their content is some of the best around and it's no wonder why PersonalPorn would target it. I'm abreast of the whole situation with Sweeterotica and Mike South and I can personally attest to the fact that PersonalPorn is, in a word, f---ED.

Luke talked to Skeeter, 35 yo, and Bridgett Kerkove Tuesday morning.
Skeeter: "He said that I am a terrible manager. Well, everybody knows that I am not Bridgett's manager and I am not her agent. Bridgett manages herself. She has no manager agent and never will, by her choice.
"We did not ask for a $1000 cash. A guy named Cam Smith got her the job for LGI. When I spoke to him on the phone, I expressed that these people are from out of state and we don't know 'em. What if the check bounces? How do we get it if they live 3000 miles away? He responded, 'Oh, they're going to pay cash. You won't have to worry about a bounced check.'
"Well, Luke, the check Bridgett received for $1200...bounced! I called up Rob Spallone and other people to get in touch with the person who gave us a bounced check. Ten days later they made the check good.
"Three, he said we are evading taxes. That is impossible. We have a tax impound account and between Vivid, Wicked, Metro, Sin City, West Coast Productions, Extreme... They take taxes out of our checks. For example, out of the $7500 she earned with Metro in five days, they took out $3474 in taxes.
"Four, he says that I take all of her money. I have been paying income tax since I was 14 years old and working at an icecream store. I opened up my swimming pool and spa business when I was 18 and it is still runnning today, seven days a week. I pay over $11,000 a year in property taxes.
"Five, he says I have a small dick and that Brick Majors made her happy. They need to look at some of the videos Bridgett and I are in. Sure, if having a nine-inch dick is small, then I have a small dick."
To settle this dispute, Luke will have to measure Skeeter's and Bo's dicks and report back.
Skeeter: "He says that we tell on people. Who have we told on? We have not gone to the federal government saying that they [LGI] are showing pictures on their website of her [Kerkove] that they ahve no model release on. I don't recall calling the local authorities when he called her up in the middle of the night and tried to get her to sleep with some guy, for pimping and pandering. I don't recall that. I swear on my children's life that he called and asked her to sleep with somebody.
"Because I was upset by his call, I called Mark Spielger and Don Fischer [aka Mickey Ray] about it. We want to know why she was approached with this. Everybody knows that she doesn't turn tricks, she doesn't go out sleeping with people for free. She works with people on camera. And if a big executive or somebody in the industry would like to sleep with her, all they have to do is get a PCR DNA test, and have the camera rolling with a crew. It's simple performing.
"I don't know why he's saying I take her money. Before she got into adult, she was at home being a housewife. She wasn't taking my money. It is true that she makes more money than I make. If you saw the way I dressed, wearing my Marshalls and Ross clothing that I buy with my own money, I think it is pretty evident that I am not taking anybody's money. I own no jewelry except a watch and a wedding band.
"If Bo wants to see the size of my dick, he can check out Pussyman's Cocksucking Championship 2. If Bo can stand up beside me, and if his dick is bigger than mine, I will pay him $1000 in cash. Obviously Luke he needs the money or he wouldn't steal girls names."

Bridgett: "It just melts my heart... Everybody who's written in, they're such good people. And they've called me... A couple of people I've only worked for once, wrote in. They just met me one time but they saw how professional I was."

These documents are the model release Patricia/Bridgett or "Skeeter" Kerkove signed, Patricia's HIV test and the check the Kerkoves signed and CASHED. We did redact certain info for security reasons, mainly account numbers and such. The documents are scanned from the originals we have and are saved as Adobe Acrobat files (*.pdf). You can read these files with either Adobe Photoshop or Adobe Acrobat Reader.
I had a chance today to read some of what you have written about this situation, and some of the things the Kerkoves have said on your site and others. If you look and compare the signatures from the back of the check and the model release, you can see that they all seem to have been signed by the same person.
Since the Kerkoves signed the model release and cashed the check I am not sure how they can maintain they weren't paid or were treated illegally in any way. The model release allows LGI to publish the pictures and video we took in any way we wish. The Kerkoves were specifically told this material would be published to the Internet, in addition to film. We also registered the bridgettkerkove.com domain legally. As far as we know Bridgett Kerkove, the name, isn't Trademarked, and therefore what we did is very legal and above board. We did not steal it. In fact "Skeeter" Kerkove told us he did not plan to use the domain because Seymore Butts told him he would earn $120,000 a year for Bridgett/Patricia being on that site. As of this writing, neither "Skeeter", nor anybody else has registered any of the other domain name variations.
I categorically deny that anyone connected with the production of Late Networks Vol. 1& 2 was involved in the allegations of "rape", "drugs" or "pandering". LGI takes pride in being an honest company in the Adult Industry, and we've been at it for more than 25 years. If we had pulled any of the things we are accused of, we would not be here now. I'm sure the Government would have shut us down. We have worked with many other Top Adult Performers and Production Companies and have never had these kinds of allegations leveled at us.
In addition to all this, it is company policy to ONLY pay by check or credit card for bookkeeping purposes. No one has ever been paid cash by LGI for any movie. The Kerkoves charged LGI more for their services, just because it was a check NOT cash.
We are considering, on advice of counsel, bringing criminal charges against the Kerkoves for fraud and wire fraud in connection to the signing of the model release and the endorsement on the check. We hope the matter can be resolved without taking these steps, however we do have a business and reputation to protect.
I also think it is sad that you portray Kendra as being intimidated by Bo. Bo is a professional, and has too much to lose by jeopardizing our company by that kind of activity. Kendra is a contract girl for LGI and we are ecstatic to have her on board. We have paid her over $8,000 and she still hasn't filmed her first scene with us.
Kendra Jade writes: Lukey.. i read what was wriiten to you by lgi, and i feel compelled to tell you that all of the above is true and factual.
Lgi signed me in october. I met bo at a shoot he was doing with his other contract girl, ashley heart. He treated her very much like a star, genuinely concerned with every thing she had to say, and took all of her suggestions and feelings very seriously.He let her have all the input on what she was doing in her movie.I thought "wow, that girl is very fortunate to work for a company that cares so much about their girls, and really takes care of them".
Bo and i discussed doing a website, perhaps doing movies and many other things., and lucky for me we came to a great agreement, and here i am with a wonderful contract with a wonderful company. In NO WAY did i ever feel intimidated at all.In fact, just the opposite.
I felt " wow, here is a great guy who actually cares about the talent". And to this day , i still feel the same. There was never any talk of drugs nor did i ever see any..(as you know , i am strongly against them and dont do them) so if i saw drug use, i wouldve NEVER talked contract with this man.
At the ECVS , i hung out with bo,and his lovely wife shannon both at their booth and after the show was over. and NOT ONCE did i ever see any drug use.
Secondly , i have to tell you that since OCT 1st , i get paid EVERY two weeks faithfully and NOT ONE check has bounced.I went and did signings at some of bo's stores And NOT ONCE did any of those checks bounce, and believe me it was for more than $1200.00 Bo paid for the surgery i am having december 6th. Bo helped me get my apartment. Bo has advanced me money on top of what i get paid. AND I STILL HAVE NOT FILMED A SINGLE MOVIE FOR HIS COMPANY. does this sound like a scumbag who f---s over talent? I THINK NOT.
Bo would give the shirt off his back to help people and all this negativity and talk from one girl is bulls---. Luke talked to Bo Smith of LGI Distributors Tuesday afternoon.
Luke: "Tell me about your background."
Bo: "I've been in the biz 25 years. I've done everything from selling 8mm [porno loops] to operating stores where girls did one-on-one peep shows, video stores... We operated the first video stores [in Washington D.C.] in 1982. And now we've moved on to the internet."
Luke: "It seems that the main reason Skeeter and Bridgett are upset is that you took the domain name BridgetKerkoff.com. And when I checked it out last week it said it was her official website. Now it says unofficial website."
Bo: "The reason we changed it to unoffical is because there was a change in what was going on. When we originally talked to her... Wait, I've never had one minute's worth of conversation with Bridgett. I've only talked to Skeeter.
"When we talked to Skeeter, we said, 'Hey, she's a doll. Do you plan on doing a website?' He's like 'No, Seymore Butts is going to do a site for them and pay them $120,000 a year.' And I'm like, 'Well, man, you can't knock that. There's no way I can guarantee you that kind of money. So are they going to do your own site?'
"He says 'No, I don't plan on using BridgettKerkove.com at all.' They were going to perform inside of Seymore's sites... So we had our photographer Bill Diehl [voluntarily celibate for four years] shoot a couple extra rolls of film of her. We told them that we intended to use it on the internet. We told him that we wanted buy scenes from him, two a month, to put on to the internet. He agreed to do the first one called 'Bridgett's Porn and Beans.' He was going to dump a can of pork and beans down her ass and then she was going to f---ing spit them out somehow and he was going to eat them and then f--- her in the ass."

So I told him right up front, 'Listen, if you're with Adam, we don't want to do any of this stuff where you go out and do a Bridgett Kerkove on us.' And he said, 'What do you mean?'
"I said, 'Well, Bridgett Kerkove was going to do a website with us. And she was going to supply us with stuff and we were going to own the name, and she would get paid for supplying us content every month that Skeeter would produce. And then all of a sudden, back out. We don't want to have that type of a situation with you.' The guy told us to go ahead and register his name to Dusk Till Dawn Productions... Then suddenly he's saying that he doesn't know anything about it, we're calling him and putting the hard sell on him. When I did not know who Tyce Bune was when he called the first time and I still have not seen a single piece of product that he has done.
"All I know is that what ever problems they had could've been resolved if they had not made the allegations that we had forged a model release. To be honest with you, I did not forge that model release. I did not offer her any drugs. I never raped her. I never pimped her out or tried to pimp her out to Kevin Beech. There are all false accusations.
"If I wanted to have sex with her I'd just say, 'This is Bo's f---ing Series, now suck my dick.' Here's $1200 and pay her like I'm an actor. For me to rape her or to do anything to her, is totally unfair. The people that were there, Jim DiGiorgio, Bill Diehl, the production assistant, Take One Media, Brick Majors, Terri Star, Brandon Irons... You can ask any of them. There were no drugs on the set and no cash being paid to anyone. Oh there, Bridgette Kerkove and Skeeter asked for cash. Nobody that has worked for us on any movie has been paid in cash. And I think that it is frightening that people can come on and make these accusations without backing up anything that they are saying. And they have no proof.
"And I think that the stuff we sent to you and Gene Ross, prove that we're not lying."
LGI sent us photos of what looks like Bridgett Kerkove's signature.
Bo: "If she did not sign the model releases, then Skeeter signed it and he faked the signature. And not only did he fake the signature on the model release, he also faked it on the check. Because you can see who he signed the check to... I'm coming into LA next week and I will be happy to let you see the model release and the check and let you examine them yourself. We did not do any of the things that they are claiming. What we did do was register the domain name and build a website. We thought we had a deal with them but apparently they changed their mind after the Tyce Bune incident."
Luke: "Now, if they ask you for BridgettKerkove.com back, will you give it to them?"
Bo: "If they retracted everything else they said, and admitted to lying, and if they did forge the model release, we could probably resolve it. But I doubt that Skeeter is going to be man enough to admit that he is a liar."
Luke: "Skeeter says that you called Bridgett late at night and asked her to sleep with someone in the industry?"
Bo: "That is not true. They have alleged that it is Kevin Beech... They say that the best lies are ones closest to the truth. And what happened is that Skeeter offered Bridgett to sleep with me if I would put her on the cover of boxes. I declined. 'No, I'm not into that. I don't sleep with the girls. I don't have anything to do with the girls. I'm married. I have three kids.'
"All I said to him is, 'I have a buddy who might be interested. Kevin Beech. You can talk to him.' And Skeeter stated at that time that he had been to Kevin's house and worked on a movie for Gina Ryder. And that was the extent of it. And if I was going to sign her to a contract, I thought she was a doll. I would sign her to my own company. I wouldn't sign her to anybody else or send her to anybody else. But when sexual favors were offered, I told him flat out that I wasn't interested. You won't find any girl out there who says that I've engaged in any kind of sexual conduct whatsoever."

Bo: "We'll also have a new contract girl for CES. We don't have the deal inked yet...
"We operate about 40 porn star websites... Every one is with the permission of those porn stars. And some of the people I have sites for, we've had to buy back the names for the people. Just like we are in the process of buying two of Kendra Jade's names back. Legally, when she did the deals with them and signed the model releases, there's nothing we can do about that. All we can do is try to negotiate a deal with the individual who holds it. So that we can get the names back.
"We've bought back Alicia Rio's name, (fetish girl) Teddy Barrett's name, Peter North and several other stars. It bothers me when people say I stole something, because in actuality, I've helped people get their names back. As far as I know, Bridgett Kerkove is the only person to make this allegation.
"And for Skeeter to say that we forged a model release, that's a lie. Because why would we also forge a check that is cashed into his bank account?"
Luke: "Do you guys typically buy domain names without the permission of porn stars?"
Bo: "No."
Luke: "It's only when you believe you have a deal?"
Bo: "Correct.
"And I read some of that article you wrote... And Skeeter says he's been planning this website... He still hasn't bought the other seven domains for Bridgett Kerkove... If you look at Gene Ross's article, he says that he only owns a $30 cell phone and says he knows nothing about the internet. Skeeter's changed what he's said... And when people change what they say, I'm very leery of that stuff.
"You know Network Solutions. You know our porn stars. You can call any one of them and find out if they've been paid, if LGI has done what it said it would do.
"I don't know who gave you this information that I had intimidated Kendra Jade... I find that very disturbing. And I tell you that whoever said it to you will not stand up and say it to my face. And it's not because of anything that I am going to do to them. It's because they know they're lying. And I'll be in PST tonight and you can tell anybody to come in who has anything to say. I'm not trying to be physically confrontational but it is my reputation and my standing in the community, where this bothers me.
"We plan on building a lot of porn websites for other people, and one bad thing like this is all you need to derail your company. Peter North told me that he never received a check in the five years he had his site. On the first month, he got a real hefty check from us. Anna Malle had the same situation. She hadn't received a penny. But every one of these people that we've started working with, they've received money from their website. And Bridgett Kerkove would've been paid. She would've been paid $2000 a scene, two scenes a month. That's $48,000 a year."

Bo: "Negotiations to get Kendra's name back are going well. There are some issues over money. We've agreed to pay them for the work they say they've done. They've digitized photos and video. Being a website provider, we understand how much work goes into keeping a website up. I'm sure you do because you update yours four or five times a week [a day, often].
"Somebody said we were spamming. That's when you send email. We don't do that. We do forced exit traffic. Where you can't back out of a site. The only way we send you to another site is if you come to one of our sites and you don't like what is there. Because we feel we have a potentially targeted buyer, we throw up another site to them to let them look at. That's not spamming."
Luke: "What happened with you and Laurie Holmes?"
Bo: "Same thing. She was brought over to us by Harry Young at VCX. She needed a website. She'd been screwed out of her money. At CES last year, she agreed to a contract with us. She said her lawyers had to look over the contract. We said fine, we're still building the site. We built the site. Then some guy she was involved with sent us a letter and said that he was in charge of Johnnywadd.com, not her. We said, 'what do you mean? She's already sent us all this stuff...' Then she said that the boyfriend wouldn't allow the contract to go through. The boyfriend that allegedly was stalking her and owned one of the other variations on the domain name.
"So we had built the site, there was demand for it, so we set up johnnywadd.net. If she had chosen to register johnnywadd.net... And there's no trademark on John Holmes' name. And every company in the adult industry has done something with his name. From novelties to magazines to videos, so I don't feel we've done anything to hurt Laurie Holmes. She agreed to do something, signed a contract, then said she didn't want to do it.
"If you trace down the Johnnywadd.com site, you'll see that there have been four or five other people that she has duped... We just kept the site we built. I've acquired photos of John Holmes from other people in the adult industry, as a favor. People I've done business with over the years, they've given me chromes of him to put inside the site. And we've acquired magazines through Metro that have John Holms in them, to sell through the site. And we've acquired videos through VCX that feature John Holmes to sell through the site."
Luke: "Why were you calling around the industry to get model releases on Bridgett Kerkove?"
Bo: "We wanted to know who signed the model release. We know Metro,
called them, 'Here's copy of Bridgett Kerkove's model release. Could
somebody there pull a copy of her model release and see if the signatures
match?' And they said that we were trying to blackmail them. And that
is false."
