Alexandra Nice

I interviewed tall busty brunette Alexandra Nice by telephone Monday night.

Born and raised in Poland, she visited the United States in 1995 and decided to stay. She quickly entered porn, before she even knew how to speak English.

I was born in Poland, a small, beautiful country in Eastern Europe. I had a wonderful childhood, growing up with my dear younger brother and my two lovely parents. I was an excellent student in school, although I was always a big troublemaker.

In Poland, people don't talk openly about sex, and there is no sexual education. My parents never told me about sex. So it was a very innocent girl who discovered a stack of porn movies in her mother's closet one day...

The first time I had sex I was sixteen. Since then I have been making up for lost time! I absolutely love sex! I love sex with all kinds of partners, men, women, black, white, asian, etc...

The most lucky thing that happened is that I met Dave Cummings. He is one of the sweetest, nicest men I have ever met! Luke: Have you had any reaction from Elegant Angel from the complaint you made on my site about they treated you?

Alexandra: No. Nobody called me. Nothing. Very strange. But honestly, I did not expect that they would call me.

Luke: How involved are you with your website?

Alexandra: I am doing almost everything myself. I spend all day in front of the computer. I wrote my own biography.

Luke: How did you learn English so well?

Alexandra: By watching TV. And I went to school for two months in Chicago. That's all.

Luke: How do you like America?

Alexandra: I love it. In the beginning I wasn't very happy but now it is my second home.

Luke: Where are your parents?

Alexandra: In Poland.

Luke: Have they found out about your new career?

Alexandra: No. Only my brother knows. I don't want to tell them. They would worry about me.

Luke: How does your brother feel?

Alexandra: Very excited.

Luke: How do you like the porn industry?

Alexandra: I like what I do. Everything is perfect because I like sex and I like to work with people... But there are a lot of people in this business that I do not like. That are unprofessional and unorganized. I am always on time and it really bothers me when people are late.

Luke: Are you married?

Alexandra: No, I am divorced. I divorced in Poland over seven years ago.

Luke: Do you think being a porn star could affect your future relationships?

Alexandra: Not really. Not if you find the right partner who understands that this is your job. It depends on your partner. I know other people in the industry who are married or dating and are happy and have families and kids.

Luke: What has been your worst experience in the industry?

Alexandra: I don't think there was anything worse than what happened with me and Elegant Angel. When you do your job and they don't pay you for that. There's nothing worse than that.

Adam Glasser vs Yosef & Rita

XXX: "Here's the lowdown. Rita Shemesh at Sunshine Films sued Adam Glasser for using the name Seymore Butts. Adam got his start in the porn industry working for Yosef and Rita. They funded his series. Together they created the character "Seymore Butts." Then Adam decided to go off on his own, with Shane, and form his own company, Seymore Butts Inc and he continued to pump out volumes in his "Seymore Butts" series.

"Everything that Adam sued her for got dropped except for Factory Home Video owing Adam $210,000 for royalties from foreign sales. There is no Factory Home Video anymore so he can't collect.

"The jury came back and said we don't feel that Factory Home Video transferred everything properly to Sunshine Films. Judge: I'm going to rule on this. The judge came back ten days later, and said, I find that Factory Home Video owns the name "Seymore Butts" and they have the right to transfer it to whatever company they want.

"AVN is in bed with Adam Glasser. Adam edited for free video for the AVN Awards. Mark Kernes is Adam's boy. At the convention, Mark said about the lawsuit, 'This is very disturbing.' Mark and Paul Fishbein support Adam. Gene Ross is impartial.

"The judgment came down that Adam Glasser will have to pay court costs. When you have to pay court costs, that means that you lost.

"Nobody really won. The lawyers won.

"Now there will be a new court case to make Adam Glasser stop using the name "Seymore Butts." In the meantime, they can both use the name.

"This lawsuit was not about who can use the name "Seymore Butts." It was about all the other stuff.

"As soon as Adam makes another Seymore Butts video, Rita and Yosef Shemesh will sue Adam and bring up another big court case.

"Adam Glasser has threatened people's lives about this. He sent two big guys into Sunshine Films to hurt Yosef and Rita. Adam threatened Chuck Martino's life on four different occasions.

"You have a sponsor who got you popular. What if you were to look at him and say, hey buddy, f--- you. I'm going to make all the money. What type of person are you? A scumbag. That's Adam. He got popular through Yosef and Rita. Then said f--- you, I'm going to make it all myself with Shane. Then he f---ed Shane over. Ask her. He f---ed Nick Pintowski (Ultimate Pictures) over. He f---ed Adam & Eve. He's not a popular guy."

YYY: "Gene Ross got all the papers last week from the trial but has refused to publish them. Instead, Mark Kernes took over the story. AVN is playing damage control, trying to protect Adam Glasser, one of their boys. They've just printed what Adam wrote to them, not the court documents."

Luke: Adam Glasser sent GeneRoss.com this email:

Seymore Butts writes: Dear Gene, Over the last several weeks Sunshine Film, Inc. has disseminated inaccurate information concerning the results of litigation between it and Seymore, Inc. (and Adam Glasser).

Here are the facts. On July 19, 2000 a Los Angeles Superior Court jury returned a Special Verdict against Sunshine rejecting its libel claim against Seymore, Inc. In addition, the jury also found that whatever rights Factory Home Video, Inc. claimed to have had in the trade name "Seymore Butts" as used in the titles of adult videos, it had failed to transfer them to Sunshine Films, Inc. prior to Factory Home Video, Inc. ceasing operations in October, 1995. As a result, Seymore, Inc. prevailed on all of the trade name related claims brought against it by Sunshine Films, Inc.

By contrast, the jury found in favor of Adam Glasser's contract claim against Factory Home Video, Inc. and awarded substantial monetary damages. Moreover, because Seymore, Inc.'s trade name related claims against Sunshine Films, Inc. had been dismissed by the Court prior to the jury's findings regarding Factory Home Video, Inc.'s failure to transfer any trade name related rights to Sunshine Films, Inc., Seymore Inc. shall be seeking a partial new trial on its claims against Sunshine Films, Inc.

Until resolved on appeal, Sunshine Films, Inc. may claim that the now defunct Factory Home Video, Inc. was found by the Court to have had the original right to the trade name "Seymore Butts" as used in the title of adult videos. What the Court did not rule on, however, was who had the right to the trade name "Seymore Butts" as used to identify Adam Glasser as the producer, director, writer and performer of "Seymore Butts" videos. In that regard, Adam Glasser is and remains the sole registered trade name holder of the name "Seymore Butts" in connection with videotape production of "Seymore Butts" movies. (See, for example, United States Patent and Trademark Office Registration No. 2,201,190).

Nevertheless, it has come to our attention that Sunshine Films, Inc. has announced its intention to release a video entitled "The New Adventures of Seymore Butts." Adam Glasser and Seymore, Inc. have nothing to do with this video and shall take all necessary and appropriate legal action to prosecute their claims against the producer and distributors of this video to the full extent of the law if it violates Adam Glasser and Seymore, Inc.'s rights to the trade name "Seymore Butts" as used in the production of adult videos.

In the meantime, Seymore, Inc. looks forward to the release of" The Gapes of Wrath" a brand new video product, directed, written and captured by the one, and only, Adam Glasser as "Seymore Butts." The video shall be consistent with the high production quality and standards you have come to associate with Adam Glasser and Seymore, Inc. and their production of over 55 movies starring Adam Glasser as "Seymore Butts."

[Gene sez: Mark Kernes, AVN's legal expert, who quickly admits he isn't a lawyer, sez: "I've taken a look at the actual judgment that was entered in the Sunshine v. Glasser case, and only a few things seem really clear: 1) The judge says Factory Home Video (FHV) is the only company that can use the name "Seymore Butts" in the title of a video. 2) The jury says FHV didn't "transfer its trademark rights in the Seymore Butts trade name" to Sunshine Films. (There seems to be a bit of confusion, at least in this layman's mind, as to the difference between the TRADEMARK "Seymore Butts" and the TRADE NAME "Seymore Butts," which may further have to be worked out in court.) 3) The jury says neither Glasser nor Seymore Inc. libeled Sunshine. 4) The jury says FHV owes Glasser some big bucks for non-payment of royalties on the 14 Seymore titles it released. And the jury didn't say anything about who owns the right to call himself Seymore Butts, except that Sunshine DOESN'T own it. Luke: I talked to Chuck Martino Tuesday morning. After Adam left Yosef and Rita, Chuck started shooting a similar gonzo line for Factory Home Video called "Philmore Butts..."

Chuck: "Adam Glasser is a f---ing scumbag. You should write about what he's done to different people like Shane. They will also tell you that he's a scumbag."

Luke: "I've heard that he threatened your life."

Chuck: "The dude threatened me three times on the phone. It wasn't his voice. He had somebody else do it. But after I testified [in the Adam vs Yosef & Rita trial], I started getting death threats. I filed a police report. They took it to court. While he was in court, they told him, if this guy has one finger laid on him, we're coming after you. Adam denied everything.

"He also denies reporting Rita to the IRS. And reporting Rita to Immigration and Naturalization. Which he did a few years ago. And after the court case, he did it again. This guy is a piece of work. I may have done some bad things in my life, but I don't f--- people over like that.

"Adam says he won. But then, why is he having to pay for the court costs?

"I hate seeing people get f---ed. Could you imagine if this was Russ Hampshire or David Sturman or Stevie at Wicked?

"Sunshine is going to put out Seymore Butts movies. As will Adam. Which will create another court case.

Chuck: "Adam wants to get out of this business anyway. He tried to sell me his company a few months ago. When he found out that I started my own company (Rita was my partner), Adam called me up. 'Congratulations...'

"I was like, 'I haven't heard from you in five years. Now court's coming up and you want to be my friend.' I went to his office. He said, 'I want to get out of the business. I want my kid... I will sell my whole company for $300,000.' It was all bulls--- so that I would say the right thing in court.

"Seymore is not looking good. He looks really unhealthy. I want to see a valid HIV test on that man."

Luke: I talked early Tuesday afternoon to the Beverly Hills lawyer for hotblooded Israelis Rita and Yosef, Carl Osborne.

Luke: "Who won?"

Carl chuckles. "It depends on how you look at it. Rita and Yosef and Sunshine Films look on it that they prevailed because the court made a finding that the tradenames "Seymore Butts" and "Philmore Butts" were initially owned by their company Factory Home Video. And that Factory Home Video can transfer the rights to the names by agreement. That was 90% of the lawsuit.

"Mr. Glasser filed a cross-complaint against Rita, Yosef, Sunshine Films and Factory Home Video. He lost on all counts except for rights to royalties ($208,000) from Factory Home Video. That was a hollow victory because Factory Home Video is no more.

"Rita, Yosef and Sunshine will be collecting money from him as the result of costs they incurred defending themselves against his lawsuits....which will probably run $150,000-$200,000.

"Mr. Glasser is technically not allowed to use "Seymore Butts" in the title of any more videos. The court did not have before it anything to make a determination whether Adam could use the name "Seymore Butts" for listing as an actor or producer."

Luke: "Was it weird for you as a respectable attorney to litigate a case over the ownership of the name 'Seymore Butts'?"

Carl: "Lawyers don't pick or choose their cases... Yeah, it's kind of humorous. When I was a kid, Seymore Butts was a joke. Who wrote the book 'Under the Grandstand'? Seymore Butts. But it meant something to these people for some reason and they wanted to go battle it out rather than sitting down and resolving it like human beings.

"We thought the court might say, well, nobody owns this name. It is commonplace. But the court found that in the adult film industry the name had a secondary meaning and that Factory Home Video put it into play and they own the name."

Luke: "Did the judge or jury find the subject matter distasteful?"

Carl: "We tried to minimize the negativity of adult, if there is such a thing, by not showing pictures of sex scenes... We limited it to the legal issue of the name... It didn't get into hardcore stuff."

Luke: "What was the libel about?"

Carl: "Sunshine accused Glasser of libeling them. When he put out a letter regarding a film they had released, that it was a compilation. Sunshine said it wasn't. That it was an original film made by Glasser. Unbeknownst to Sunshine, Glasser had actually taken scenes from that movie and put them in other movies. So when this Sunshine movie was released, some of the scenes had been previously released in other movies. So it was a compilation. But my clients were unaware of that."

American Dog Pound 2

I hear that this controversial bestiality tape which led to XXX suing me for defamation was made around 1995 in San Francisco, California, possibly by a former employee of General Video. The dog video is of such terrible techinical quality that it is hard to identify who's in it. It appears to have been made in an insurance office.

DragonKing writes Luke: I was one of the original owners of Condom Project. Netpond was the new corporation Meatman and Nickilynx formed after I bowed out.

Max vs Olivia

Discrete writes: Hey Luke: I finally saw the infamous Max vignette with Olivia [Maxed Out 20]. It was awesome. Black men do not murder more than white men, they are prosecuted more often. Men murder more than women...vastly more. Poor men are more often prosecuted than rich men. Black men are more often poor. When rich black men (think OJ Simpson) murder, they do not end up in prison.

However, murder is a relatively rare crime. If we locked up all men, black, white, Hispanic, Asian, between age fifteen and age twenty-five, our murder rate would drop precipitously. I will accept your challenge to obtain the statistics, though, and should have some to post tomorrow (Wednesday) morning.

Crime rates have fallen because the demographic group responsible for committing crime has decreased. There are fewer young men of all colors than there were a couple of decades back. I, too, am concerned about violent crime, but the prisons are not full of violent criminals. They are full of substance users and traffickers.

Prisons are built in rural areas. Government contracts are big business. In places where prisons are built, they are often the single largest employer in the community and the community makes the trade of having an unsavory neighbor in exchange for high paying jobs. The people our prisons house are those people we gave up on before birth, when we did not make medical care available to their parents, and to whom we failed to provide a decent education, and to whom there were no jobs available. They get caught selling drugs and they go to jail. They come out with no skills and no job prospects, steal a pizza or shoplift, take more drugs, go back to jail.

As to alternatives, castration would be a much better solution, solving both the violence problem and the over population problem in one quick snip.

What we do have is a preponderance of Asian-Americans in academic fields like science, computer science and medicine. An Asian influx into a community seems to be good for property values, and their restaurants are incredible, with Vietnamese and Thai being my favorites. In fact, my new theory on choosing countries to destroy is that we should decide which immigrant refugee population we wish to host based on local cuisine...

Pushers are not caught on possession charges, but on sales and distribution charges. Possession charges are issued to those guys who have busted taillights and a joint or rock in the glove box. Crack is an evil drug, highly addictive, easily afforded, and its using it turns one into a real jerk. I wish it weren't so available. But throwing every dark skinned male who takes drugs into prison doesn't address the real issue, which is why so many people need to escape from the vicissitudes of modern living.

Crack dealers shooting each other isn't a problem I worry about, not being a crack dealer. Property crimes, whether committed to raise money to buy drugs or diapers, are a problem in a society full of strangers who don't have a way to earn a decent living and who have no community or emotional ties to their victims. Crimes by blacks tend to be committed against fellow blacks, so again, I am not afraid of the mythical black stranger poised in the alley holding a brick with my name on it. Here in Portland, where there are comparatively few blacks, the prison system has plenty of white guys in it, and still has a disproportionate number of blacks.

Furthermore, most drug users are never in trouble with society or the law -- they pay their taxes, love their kids, go to work each day. I smoked pot every day for ten years without raping, robbing or stealing...or even missing work.

Heroin no longer accounts for much drug use or criminal prosecution: crack has become the urban drug of choice, and crystal meth (another really obnoxious drug) has become the favorite of the rural population. The statistics you quote say nothing about who commits crime, only about who is prosecuted for crime. Blacks are disproportionately prosecuted while whites skate. The all-pervasive racism which continues to infest our criminal justice system may well be the biggest crime of all.

Oy vey, so there is a massive conspiracy over at the Clinton Justice Department to unfairly portray black men as disproportionately murderous by cooking the statistical books the DOJ keeps? Lynne, our system of justice is not perfect by a long shot, but the work it does in matching perpetrators of murder to their victims is sufficiently good to make some judgments regarding who is killing whom in this country, notwithstanding the fraction of killings that are never solved (do you assume them to be disproportionately the work of presumably smarter white men?) or that result in the imprisonment of the wrong man. Black men kill about four times more frequently than white men, on a per capita basis. Moreover, the black murder rate in this country is about on par with the murder rates in various black - run societies in Africa, such as the Republic of South Africa.

You know Luke, I wonder if this is some sort of west coast - east coast thing. In places like New York and Washington, where the press covers violent crime and shows you who done what and publishes photos, the faces of the perps are almost always black. Not exclusively so, but usually so, even though black men are far less numerous than white men. And this comports with our experience on the street - you learn at an early age which groups are the greater source of menace, and act accordingly.

Lynne, if you can find any official statistics (from the Department of Justice, please) to back your assertion that black men are no more violent than white men, please provide them. But because such statistics do not exist, you won't.

PS Their most certainly are ethnic chinese and pathan people in this country, both by immigration and by birth. I know a lot of the former and a few of the latter, and they seem to be much less prone to violence than some ethnic groups.

Lynne replies: As promised, here are some statistics (courtesy of my sociology text from last term) on blacks, crimes and prison. These figures come from the Department of Justice, Bureau of Justice Statistics, 1997, so although there are more recent numbers, any basic trends should be evident here.

Blacks represent a minority population. Off the top of my head, I remember it being about 13% of our general population, though it may be slightly higher. In 1995, the last year for which I have numbers, 728,500 white adult males were held in prisons or jails; 711,600 black men were held in prisons or jails. Out of every 100,000 adults incarcerated, 919 were white males, and 6,926 were black males.

In 1996, according to the FBI figures released in 1997, 7,918,554 males were arrested in this country. The eight Index Crimes, which are the eight crimes considered most serious by the FBI, and which include Murder and Non-Negligent Manslaughter, Forcible Rape, Robbery, Aggravated Assault, Burglary, Larceny-theft, Motor Vehicle Theft and Arson, accounted for 1,399,413 arrests. Only 12,062 of these arrests were for murder or other non-negligent manslaughter, representing a drop of 1.5% since 1987.

In contrast, 857,057 arrests were made for drug abuse violation, representing a whopping 51.5% increase in the number of arrests made in this category over the figures for 1987, and being over SEVENTY times the number of arrests made for murder. Arrests for all types of assaults not considered murder, manslaughter, rape or robbery totalled only 695,386 during 1996.

As you can see, drug offenses are indeed big business for law enforcement. Arrests for all eight major Index Crimes constitute about 18% of total arrests; arrests for drug abuse violations account for 11% of the total, more than for any single Index Crime alone, and more than the arrests for forcible rape, offenses against family and children, sex offenses (not including prostitution), robbery, murder, aggravated assault, and motor vehicle theft combined (which total only 644,501).

Our prisons are full of people of color who have had their lives destroyed by our "war against drugs." I empathize totally -- David Hardman's decision last summer to have me arrested in his driveway on spurious "stalking" charges has cost me dearly in terms of the types of employment I may seek. Wanting to know why a contracted performer will not return phone calls is not a crime; toking on a joint, or even a crack pipe, should not be equated with murder.

If there are 1,400,000 men incarcerated in our prison system as of 1995, and if the rate of those arrested for murder has held reasonably steady at 12,000 men per year as it did between 1987 and 1996, AND if we remember that only a small percentage of those arrested are actually convicted, there are well over a million men in prison, half of them black, for crimes far less serious than murder.

Chaim, you expose yourself once again as a racist, and you are obviously afraid of shadows in the night. Perhaps because they are....black?

DEFENDANTS STATEMENT OF CLAIM

1. The Plaintiff [Meatman], Gregory Northcott, is a businessman, and resides in the City of Vancouver, British Columbia, Canada, V6H 4C1.

2. The Defendant [Nickatilynx], Jonathan Albert Allaby, is a Businessman and resides in the City of Coquitlam, British Columbia, Canada, V3E 3M9.

3. The Defendant, Cheryl Allaby, is a housewife and the wife of the Defendant, Jonathan Albert Allaby, and resides in the City of Coquitlam, British Columbia, Canada, V3E 3M9.

4. The Defendant, Netpond.com Internet Inc. is a company incorporated pursuant the laws of the Province of British Columbia with a registered and records office at suite 200 - 5611 Cooney Road, Richmond, British Columbia, Canada, V6E 3J6.

5. The Defendant, Whitaker Consulting Ltd., is a company incorporated pursuant to the laws of the Province of British Columbia with a registered and records office at suite 200 - 5611 Cooney Road, Richmond, British Columbia, Canada, V6E 3J6.

6. In or about the year 1997, the Plaintiff conceived, created and launched a group of websites on the global telecommunications network (the "Internet") as online resources for adult webmasters. The website was operated as a proprietorship by the Plaintiff under the umbrella heading of CondomProject.com (hereinafter "CondomProject.com").

7. CondomProject.com provided online content, a help site, a webmaster community, a message board and resources pages, inter alia, targeted to the webmaster community and promoting the development and implementation of adult online websites.

8. Throughout 1997 and part of 1998, the Plaintiff's website under the umbrella CondomProject.com was hosted on webservers in the United States of America.

9. In or about the Spring of 1998, the Plaintiff was approached by the Defendant, Jonathan Albert Allaby, with an offer of free webhosting on the Defendant's servers.

10. The terms of the contract, which was partly oral and partly written, were as follows:

(a) In exchange for the Defendant, Jonathan Albert Allaby, providing free webhosting services for the Plaintiff's website, the Plaintiff would agree to transfer his websites to the servers of the Defendant, Jonathan Albert Allaby;

(b) The Plaintiff and the Defendant, Jonathan Albert Allaby, agreed to incorporate a new British Columbia company, 566010 BC Ltd., to hold the assets of CondomProject.com and its affiliated websites and the domain names related thereto;

(c) The Plaintiff and the Defendant, Jonathan Albert Allaby, would be equal shareholders in the new company and would share equally the revenue generated from CondomProject.com and its affiliates operated under the newly incorporated company.

(d) Pursuant to the terms of the contract, the Plaintiff agreed that the Defendant, Jonathan Albert Allaby, would instruct the Defendants' solicitors in Vancouver, British Columbia, Canada, to incorporate a new company and issue shares in equal amounts to the Plaintiff and the Defendant, Jonathan Albert Allaby.

(e) It was a further term of the contract that the Plaintiff would be responsible for managing the membership of CondomProject.com and its affiliates and run the "I seek you" feature of the site. In addition, the Plaintiff would monitor and post to the message boards of the website.

(f) It was a further term of the contract that the Defendant, Jonathan Albert Allaby, would host the website on his servers and handle the day to day business affairs of the newly incorporated company.

(g) Pursuant to the terms of the contract, the Plaintiff transferred his webhosting from servers in the United States of America to the servers of the Defendant, Jonathan Albert Allaby. The Plaintiff also arranged for the transfer of the domain names registered with Network Solutions, Inc., a Virginia Corporation, and owned by CondomProject.com from CondomProject.com to the newly incorporated company (hereinafter the "Agreement").

(h) It was a further term of the contract between the Plaintiff and the Defendant, Jonathan Albert Allaby, that the Plaintiff would be paid a salary of $1,000.00 USD per calendar month.

11. The Plaintiff was paid for a period of three months, commencing October 1, 1998, and ceasing on January 1, 1999, at which point all payment ceased, save and except for the reimbursement of some travel expenses and out-of-pocket expenses, the particulars of which will be provided at the trial of this action.

12. The Plaintiff continued to run the membership side and develop and promote the affairs and business of CondomProject.com and Netpond.com Internet Inc. and was not compensated pursuant to the terms of the Agreement. In the alternative, the Plaintiff pleads and relies upon the doctrine of quantum meruit.

13. 566010 BC Ltd. was incorporated by the Defendants, Jonathan Albert Allaby and Cheryl Allaby, such incorporation being issued out of the Victoria, British Columbia, Canada, Registry on June 5, 1998.

14. On August 1, 1999, the personal Defendants, Jonathan Albert Allaby and Cheryl Allaby, by way of special resolution, altered the Memorandum of the company to change the company name from 566010 BC Ltd. to Netpond.com Internet Inc.

15. In breach of the Agreement, the Plaintiff was not issued equal shares or any shares in 566010 BC Ltd. but the two personal Defendants allotted and issued equal shares in 566010 BC Ltd. with shareholdings of ten Class "A" voting Shares each and held such shares as of the date of the filing of this action.

16. The Defendants, Jonathan Albert Allaby, Cheryl Allaby and Netpond.com Internet Inc., did wrongfully and without colour of right transfer to the Defendant, Jonathan Albert Allaby's, related company, Whitaker Consulting Ltd., the domain names received from the Plaintiff.

17. Whitaker Consulting Ltd. did conspire with Jonathan Albert Allaby, Cheryl Allaby and Netpond.com Internet Inc. to convert to its own use the domain names of the Plaintiff.

18. The Plaintiff at no time was advised, consulted nor did the Plaintiff consent to the transfer of any domain names to Whitaker Consulting Ltd.

19. The Defendant, Jonathan Albert Allaby, is the President and sole Director of Whitaker Consulting Ltd. Further and alternatively, the Defendant, Jonathan Albert Allaby, was at all material times the directing mind of Whitaker Consulting Ltd. and intentionally authorized, caused, directed, supervised, ordered, induced, produced, participated in, and aided and abetted the wrongful conduct of Whitaker Consulting Ltd. alleged herein and, as such, the Defendant, Jonathan Albert Allaby, is personally liable for that wrongful conduct and responsible in law for the actions of Whitaker Consulting Ltd.

20. Further and alternatively, at all material times, the Defendant, Jonathan Albert Allaby, acted in the ordinary course of the business of Whitaker Consulting Ltd. and within the scope of his actual or ostensible authority as director, officer and employee of Whitaker Consulting Ltd. and Whitaker Consulting Ltd. is jointly and severally directly liable, and further and alternatively, jointly and severally vicariously liable, to the Plaintiff for all loss, injury and penalty resulting from the misconduct of the Defendant, Jonathan Albert Allaby, alleged herein.

21. Further and alternatively, the Defendants, Jonathan Albert Allaby and Cheryl Allaby, are and were at all material times the directing minds of Netpond.com Internet Inc. and intentionally authorized, caused, directed, supervised, ordered, induced, produced, participated in, and aided and abetted the wrongful conduct of Netpond.com Internet Inc. alleged herein and, as such, each of Jonathan Albert Allaby and Cheryl Allaby are personally liable for that wrongful conduct and responsible in law for the actions of Netpond.com Internet Inc.

22. Further and alternatively, at all material times, the Defendants, Jonathan Albert Allaby and Cheryl Allaby, acted in the ordinary course of the business of Netpond.com Internet Inc. and within the scope of their actual or ostensible authority as directors, officers and employees of Netpond.com Internet Inc. and Netpond.com Internet Inc. is jointly and severally directly liable, and further and alternatively, jointly and severally vicariously liable, to the Plaintiff for all loss, injury and penalty resulting from the misconduct of the Defendants, Jonathan Albert Allaby and Cheryl Allaby, alleged herein.

23. Despite the Plaintiff's requests for an accounting, the Defendants, Jonathan Albert Allaby and Netpond.Com Internet Inc., have refused or neglected to provide same.

24. The Plaintiff has requested delivery of his share certificates but the Defendants, Jonathan Albert Allaby, Cheryl Allaby and Netpond.com Internet Inc., have neglected or refused to deliver same to the Plaintiff. The Plaintiff pleads and relies on section 49(4) of the Company Act, 1996 R.S.B.C., c.62.

25. In breach of the terms of the Contract and without the knowledge or consent of the Plaintiff, the Defendant, Jonathan Albert Allaby, has offered shares to various other business people and companies with whom Netpond.com Internet Inc. does business and continues to do so contrary to the Articles of Incorporation of Netpond.com Internet Inc. and the provisions of section 41(1) of the Company Act, 1996 R.S.B.C. , c.62. The Plaintiff pleads and relies upon section 45 of the Company Act, 1996 R.S.B.C., c.62.

26. At all material times, each of Jonathan Albert Allaby and Cheryl Allaby, owed the Plaintiff a duty of care, duty of good faith and fiduciary duties, which obligations and duties were an expressed or, alternatively, an implied term of the Agreement and the Defendants, Jonathan Albert Allaby and Cheryl Allaby, owe a duty to the Plaintiff to act honestly, reasonably, in good faith and in the best interest of the Plaintiff and for the further protection of the Plaintiff's interests.

27. The wrongful conduct of the Defendant, Jonathan Albert Allaby, and the Defendant, Cheryl Allaby, set forth herein constitutes breaches of the respective expressed and implied obligations, duties of care and fiduciary duties to the Plaintiff.

28. In order to induce the Plaintiff to continue working with the Defendant, Jonathan Albert Allaby, and the Defendant, Netpond.com Internet Inc., the Defendant, Jonathan Albert Allaby, represented to the Plaintiff that shares in Netpond.com Internet Inc. (the "Shares") had been allotted and share certificates issued to the Plaintiff pursuant to the terms of the contract when such was not the case. The Defendant, Jonathan Albert Allaby, made further representations to the Plaintiff, the particulars of which are as follows:

(a) That shares had been issued to the Plaintiff's webmaster, Lars Manfreid, and that the Defendant, Jonathan Albert Allaby, had subsequently bought out Lars Manfreid's interest for $6000.00 USD;

(b) That shares had been issued to the Defendant, Jonathan Albert Allaby's, colleague, Tom Liezinger, and that the Defendant, Jonathan Albert Allaby, had subsequently bought out Tom Liezinger's interest;

(c) That the Defendant, Jonathan Albert Allaby, was now a majority shareholder in Netpond.com Internet Inc. and the Plaintiff a minority shareholder;

(d) That the Plaintiff was a Director and Chairman of the Board of NetPond.com Internet Inc.;

(e) That the appropriate and necessary corporate resolutions had been duly authorized and passed issuing the Plaintiff his Shares in NetPond.com Internet Inc. and appointing the Plaintiff a Director and Chairman of the Board;

(f) That NetPond.com Internet Inc. was not profitable throughout the period of time the Plaintiff was an equal owner of the company. 29.

29. The representations were false in that:

(a) No shares were ever allotted and no share certificates ever issued to the Plaintiff;

(b) The Defendant, Jonathan Albert Allaby, did not and could not purchase shares from Lars Manfreid or Tom Liezinger;

(c) The Defendant, Jonathan Albert Allaby, was not the controlling shareholder in NetPond.Com Internet Inc.;

(d) The Plaintiff had not been appointed as Chairman of the Board or a Director of NetPond.com Internet Inc.;

(e) The requisite approvals and corporate resolutions had not been duly authorized and passed; and

(f) Netpond.com Internet Inc. was and is an extremely profitable enterprise.

30. The Defendant, Jonathan Albert Allaby, made the representations to the Plaintiff fraudulently in that he knew them to be false or, in the alternative, the Defendant, Jonathan Albert Allaby, made the representations without the belief in their truth or recklessly, not caring whether they were true or false.

31. By reason of the Defendants' actions, the Plaintiff has suffered loss and damages, particulars of which will be provided at the trial of this action and the Plaintiff will continue to suffer loss and damages, particulars of which are not known at this time.

32. Further and alternatively, each of the Defendants have acted in an unconscionable and inequitable manner and is or ought to be a constructive trustee and hold the Plaintiff's shares and interest in Netpond.com Internet Inc. pursuant to a constructive trust to and for the benefit of the Plaintiff. Further, by reason on their wrongful conduct alleged herein, each of the Defendants have breached their duties and obligations as constructive trustees.

33. Further and alternatively, by reason of the wrongful conduct alleged herein, the Defendants and each of them have been unjustly enriched and the Plaintiff has suffered a corresponding deprivation, without any juridical reason for the enrichment.

34. By reason of the Defendants actions, the Plaintiff has suffered special damages, loss and expense, and will continue to do so, particulars of which will be delivered at the trial of this action.

35. The Plaintiff claims punitive damages as the conduct of the Defendants was willful, malicious, contemptuous and high-handed, and showed a wanton disregard of the personal rights of the Plaintiff.

36. The Plaintiff claims aggravated damages as the conduct of the Defendants herein has caused the Plaintiff pain, distress, anguish, grief and humiliation and has compromised the good name and reputation of the Plaintiff.

WHEREFORE the Plaintiff claims against the Defendants, and each of them:

(a) Interim, interlocutory and permanent injunctions restraining the Defendants, by themselves, their directors, officers, employees, agents, or otherwise, from directly or indirectly engaging in the wrongful conduct set forth herein, including without limitation, dealing with or disposing of any of the shares in the corporate Defendant, Netpond.com Internet Inc. or issuing any further shares in the corporate Defendant, Netpond.com Internet Inc.

(b) Specific performance of the contract between the Plaintiff and the Defendant, Jonathan Albert Allaby, as set out herein and damages; (b) In the alternative, damages in lieu of specific performance;

(c) In the further alternative, damages for breach of contract;

(d) A Order requiring the Defendant, Netpond.com Internet Inc., to forthwith deliver to the Plaintiff the share certificates pursuant to the Agreement set out herein;

(e) Relief pursuant to applicable provisions of the Company Act, R.S.B.C. 1996, c.62 as pled herein;

(f) General damages;

(g) Special damages;

(h) Exemplary or punitive damages;

(i) Aggravated damages;

(j) An account of all monies, profits and benefits received by the Defendants and judgment for the amount found due on taking of that accounting;

(k) Payment of the amount found to be due to the Plaintiff on taking the account;

(l) All such other accounts, inquiries, directions or other relief as may be necessary;

(m) Further and alternatively, as the Plaintiff may elect, a Declaration that all of the Defendants' assets and profits acquired from the wrongful conduct set out herein and misappropriated from the Plaintiff, are subject to a constructive or resulting trust in favour of the Plaintiff and an Order transferring and conveying those assets and property to the Plaintiff;

(n) Damages for unjust enrichment;

(o) Damages for breach of fiduciary duty;

(p) compensation pursuant to the doctrine of quantum meruit;

(q) Interest pursuant to the Court Order Interest Act, R.S.B.C. 1996 c.79;

(r) Costs, including special costs;

(s) Such further and other relief as this Honourable Court may deem just.
